This position provides legal support for the parent company and subsidiaries. Deals with a diverse group of important external parties and in various areas of the law. Need not have experience in each of those areas provided willingness to learn. Independent judgment is required to plan, prioritize, and organize diversified workload, and maintain high level of confidentiality.
QUALIFICATIONS

Strong knowledge of legal concepts applicable to job requirement.

5+ years experience as a paralegal with corporate housekeeping / corporate governance / treasury / financial experience, either in a law firm or in-house.

Experience with companies having international scope and subsidiaries is preferable.

Strong attention to detail, superior organizational skills, and a high level of independent problem solving abilities are essential.

High level of interpersonal skills to handle sensitive and confidential situations. Position continually requires demonstrated poise, tact and diplomacy.

Some analytical ability is required in order to gather and summarize data for reports, find solutions to various issues, and prioritize work.

Work requires continual attention to detail in composing, typing and proofing materials, establishing priorities, multi-tasking and meeting deadlines.
ESSENTIAL FUNCTIONS

Support the corporate secretary function for all domestic and foreign subsidiaries (drafting resolutions and minutes at the corporate and subsidiary levels; preparing documents for dissolution, change, or formation of entities; drafting and maintaining powers of attorney; registering entity branches; making annual filings; and filing amendments to corporate organizational documents)

Manage relationships with Noble’s corporate registered agent and various outside counsel in globally, including reviewing and approving invoices for these firms

Maintain accurate entity data Noble’s web-based legal entity management software platform

Create and provide global legal entity organization charts and periodic reports to various internal departments and businesses, as well as external parties

Serve as the primary contact within the Law Department for detailed corporate information, liaising directly with other departments (Finance, Tax, Treasury, and other resource groups), and external parties (auditors, counsel, government agencies)

Provide Legal support for Accounting, Treasury and Tax including matters related to bank account authorizations, intercompany dividends, capital contributions, capital reductions, subsidiary reorganizations, guarantees, intercompany transactions, bareboat charters, promissory notes, and intercompany loans

Assist with the execution of detailed tax step plans to establish legal entities and effect intercompany transactions.

Support due diligence in connection with M&A, capital markets and treasury related transactions

Perform administrative duties such as distributing documents for signature, maintaining a record of legal and policy documentation, legal vendor management and invoices.
