FiveStar Gourmet Foods is currently looking for an experienced and well versed Inhouse General Counsel. The ideal candidate will be responsible for negotiating, writing, reviewing, enforcing, summarizing, researching, and executing a wide variety of contracts and agreements. In addition, they will need to be comfortable with marketing, sales, leased employment agreements, licensing agreements, real estate leases, confidentiality agreements, nondisclosure agreements, and other general business contracts. This position will report directly to the Chief Executive Officer.
Essential Duties and Responsibilities
- Negotiate, write, and execute agreements and contracts
- Offer expert legal insight on a variety of issues
- Advise Executive Team in Strategic Business Units, Marketing, Brand Communication, Sales, and Human Resources
- Manage various projects and deadlines
- Draft terms and conditions in company agreements
- Ensure legal objectives are met
- Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes
- Keep abreast of legislative changes that may affect the company and its affiliates, as they happen
- Perform pre-litigation work to minimize risks and maximize legal rights
- Participate in the litigation process, manage outside counsel, develop, and implement legal strategies designed to minimize risk to the Company
- Review advertising and marketing materials to ensure compliance with legal requirements
- Develop solutions to complex legal questions
- Evaluate and weigh multiple inputs and impacts of any decision or course of action
- Anticipate issues and estimate risks strategically
- Identify proactive solutions that will eliminate or mitigate risks
- Decision-making process on ethics and integrity
- Able to work independently
Minimum Qualifications (Education, Experience, Skills)
- Valid California State Bar
- Minimum 7 years’ experience as an In-House General Counsel.
- Proven general counseling experience in business environment.
- Overall broad legal knowledge (corporate law, litigation, labor law, intellectual property, etc)
- In-depth understanding of how legal issues affect organizations
- Ability to develop legal strategy and objectives
- Well-versed in how business operate with financial acumen and ability to negotiate effectively
- High degree of professional ethics, integrity, and gravitas
- Excellent judgement and analytical skills
- First class interpersonal and communication skills
- Ability to actively anticipate and mitigate potential legal issues or risks and to “see around the corner”
- Ability to look at an issue and identify what is missing as well as what is there.
Job Type: Full-time
Pay: $200,000.00 - $210,000.00 per year
